Direct Seller Agreement
Forming Part of the Independent Business Associate Application

This Agreement is executed electronically between Dslifestyle India Marketing Private Limited (“Company”) and the applicant (“Independent Business Associate / IBA”) in accordance with the Indian Contract Act 1872, Consumer Protection Act 2019, Consumer Protection (Direct Selling) Rules 2021, and allied Indian laws. It becomes binding only upon acceptance of the application by the Company.
1. Voluntary Association
- Joining is completely voluntary; no force or income guarantee has been made
- You confirm that products, business plan, policies and risks have been fully understood
2. Definitions
Direct Selling: Sale of goods/services directly to consumers through IBAs, not being a pyramid or money-circulation scheme.
Cooling-Off Period: 20 days from approval date to exit without penalty.
Territory: Republic of India only.
3. Nature of Relationship
- You are an independent contractor, not an employee, agent, partner or representative
- You have no authority to bind the Company legally or financially
4. Anti-Pyramid Declaration
- No income is paid merely for recruitment
- No joining/registration fee is charged
- Earnings are based solely on actual product sales
- No forced or bulk purchase is required
5. Your Obligations
- Sell products at MRP only and issue proper bill/invoice
- Explain product details, pricing, refund & complaint process clearly
- Carry valid identity while interacting with consumers
- Follow all Company policies and Indian laws
6. Prohibited Activities
- Do not make false income, job or guaranteed-return claims
- Do not misuse Company name, logo or branding
- Do not operate unauthorized websites, apps or social pages
- Do not collect money outside the Company system
7. Return, Refund & Buy-Back
Refund requests must comply with Company policy; products must be in saleable condition. Refunds are processed after applicable deductions (GST, courier, service charges). No refund beyond policy timelines.
8. Cooling-Off Period
You may terminate this Agreement within 20 days from approval without penalty, subject to the Company refund policy.
9. License Transfer (Death Case)
In the event of death, the business license may be transferred to the registered nominee subject to Company verification and policy. This is a goodwill gesture, not a legal entitlement.
10. Payments & Tax Responsibility
- All incentives are paid through bank transfer only
- You are responsible for your own income tax, GST and statutory liabilities
11. Termination
The Company may terminate this Agreement immediately if you violate laws or policies, commit fraud, damage Company reputation, or engage in unethical/illegal practices. Post-termination you must cease all use of Company identity.
12. Grievance Redressal
Complaints must be raised within 20 days; the Company will resolve them within 45 days through its official grievance mechanism.
13. Dispute Resolution
Unresolved disputes shall be referred to arbitration under the Arbitration & Conciliation Act 1996, in India, in English, with the arbitrator appointed by the Company.
14. Limitation of Liability & Indemnity
Company liability, if any, shall not exceed the value of products you purchased in the preceding one month. You agree to indemnify the Company against legal claims, consumer disputes, fraud or policy violations caused by you.
15. Amendments & Governing Law
- The Company may modify the business plan, policies or Agreement terms at any time; updated versions are binding upon publication
- This Agreement is governed by the laws of India and courts having jurisdiction in India
By electronic acceptance you declare that all information submitted is true, you fully understand these terms, and you agree to be bound by this Agreement.
